    Software Licensing

Unclear definitions. "Dynamic" terms and conditions. An evolving legal landscape. New methods for software development and distribution. These are but a few of the challenges that all individuals who license software must face every business day. Negotiating software licenses is a high stakes, intricate process that takes knowledge and skill.

Budd Larner Shareholder Peter Frazza is recognized as one of the top software licensing attorneys in the country by representing corporations in lawsuits against major software vendors such as Computer Associates. His particular focus is the representation of national and multinational companies in lawsuits that involve complex software, copyright, intellectual property and license agreement issues. He has also assisted numerous companies in the amicable resolution of their differences with software vendors prior to litigation.

He has drafted contracts and negotiated deals for hardware, software, maintenance and consulting agreements with vendors such as IBM, Hewlett-Packard, Oracle, Microsoft, and Computer Associates. He is also a frequent guest speaker at industry seminars and conferences on issues related to software licensing and negotiations.

Mr. Frazza also represents companies that have received letters from the Business Software Alliance. BSA urges employees to privately report piracy through its web site and toll free telephone numbers. Once reported, BSA either threatens to file a lawsuit or requests that the company do a self-audit of software licenses. The fines that BSA will seek to recover can be in the hundred's of thousands of dollars. Mr. Frazza assists numerous companies in responding to licensors' requests (either directly or through BSA) to perform a software audit or self-audit.
